State Supreme Court justice participates in educational seminar

Valihura_Robes_SmallDelaware Supreme Court Justice Karen Valihura participated in an educational seminar in New York City on trends and developments in mergers and acquisitions.

Valihura was one of four participants in the final panel, ―Litigation Trends and Developments‖ of the two-day legal seminar. The panel focused on allocating liability in fiduciary duty litigation, entire fairness litigation, and settlements in M&A litigation. More specifically, the group reviewed the Delaware Supreme Court’s 105-page majority opinion in RBC Capital Markets LLC v Jervis from Nov. 30, 2015, that was written by Valihura. The opinion upheld a $75 million judgment against RBC and addressed many previously unsettled issues of Delaware corporate law.

Master in Chancery Abigail LeGrow, from the Delaware Court of Chancery, also was a participant in the New York event, appearing on the panel, ―Advising the Board of Directors: Including an Overview of Board Hypothetical and Role Playing a Board Meeting.‖

The two-day seminar was organized by the Practising Law Institute, a New York City- based non-profit continuing legal education and professional business training organization. The seminar was set up for attorneys who counsel companies, corporate boards, investment bankers and advisors to others involved in mergers and acquisitions. It took place at PLI’s New York offices.
